Enterprise Terms of Service

These Enterprise Terms of Service ("Agreement") govern access to and use of the Vector SaaS Platform ("Platform") operated by Hyzstack Labs Inc. ("Company", "we", "us", "our").


1. Definitions

  • Client: The subscribing organization.
  • End User: Any individual interacting with Client’s deployed chatbot.
  • Services: AI-powered retrieval, processing, and chatbot functionality.
  • Client Data: All documents, content, chat messages, and materials uploaded or processed by Client.

2. Provision of Services

The Company grants Client a non-exclusive, non-transferable right to access and use the Platform during the subscription term.

  • Multi-tenant architecture with logical data isolation
  • No API keys are issued to clients
  • Access controlled via secure token authentication

3. Client Responsibilities

  • Ensure lawful collection and processing of personal information
  • Obtain necessary consents from End Users
  • Ensure uploaded documents do not violate applicable laws
  • Maintain confidentiality of administrative credentials

4. Acceptable Use

Client shall not use the Platform to:

  • Transmit unlawful, infringing, or malicious content
  • Attempt unauthorized access to systems
  • Reverse engineer the Platform
  • Circumvent rate limits or billing controls

5. Data Ownership

Client retains ownership of all Client Data. The Company acts solely as a service provider and does not claim ownership over Client Data.


6. Confidentiality

Both parties agree to protect confidential information using reasonable administrative, technical, and organizational safeguards.


7. AI Processing

The Platform uses third-party AI model providers to generate responses. Client acknowledges that:

  • Outputs are probabilistic and may contain inaccuracies
  • AI responses should not replace professional advice
  • Final responsibility for business decisions rests with Client

8. Service Levels

Enterprise clients may be eligible for SLA terms as defined in a separate agreement.


9. Limitation of Liability

To the maximum extent permitted by law:

  • The Company is not liable for indirect or consequential damages
  • Liability shall not exceed fees paid in the preceding 12 months

10. Termination

  • Either party may terminate for material breach
  • Upon termination, Client Data may be deleted after a retention period

11. Governing Law

This Agreement shall be governed by the laws of Canada and the Province of Saskatchewan.
